Scancom PLC (MTN Ghana) is set to hold its 7th Annual General Meeting (AGM) on Thursday, March 27, 2025, at 11:00 GMT.
The meeting will take place in person at the Accra International Conference Center and will also be accessible virtually via www.mtnghagm.com. This hybrid approach aims to ensure maximum participation by shareholders, regardless of their location.
To facilitate participation, MTN Ghana has implemented measures to accommodate all shareholders. Those on MTN’s network who incur charges during the AGM will be reimbursed. Additionally, shareholders who do not have smartphones can still participate by dialing +233244300025, entering the access code 8000, or using the conference PIN 056789.
For ease of access, a unique token number has been sent to shareholders via email and SMS. This token will grant entry into the virtual AGM, which will be free of charge for all shareholders using MTN’s network. These measures underscore MTN Ghana’s commitment to inclusivity and transparency in engaging its shareholders.
Key Agenda Items for the AGM
The AGM will address several critical matters, including financial performance, leadership continuity, and corporate governance. The agenda for the meeting includes:
- Review and Approval of Financial Statements
- Shareholders will receive and consider the Audited Financial Statements along with reports from the Directors and Auditors for the financial year ending December 31, 2024.
- Declaration of Final Dividend
- The Board of Directors will propose a final dividend for the 2024 financial year. Shareholders will have the opportunity to deliberate and approve the proposed dividend payout.
- Re-election and Appointment of Directors
- In alignment with corporate governance principles, the AGM will consider the re-election and appointment of Directors.
- Shareholders will vote on the re-election of Sugentharen Perumal, Fatima Daniels, Ebenezer Twum Asante, and Tsholofelo Molefe as Directors.
- Additionally, Nosisa Fubu has been nominated for appointment as a new Director. Her appointment is expected to bring fresh insights and leadership to MTN Ghana’s Board.
- Approval of Directors’ Fees
- The AGM will also provide shareholders with an opportunity to review and approve Directors’ fees for the financial year 2025. This ensures that remuneration aligns with corporate objectives and market standards.
- Authorization of Auditors’ Remuneration
- Shareholders will be asked to authorize the Board of Directors to fix the remuneration of the Auditors for the 2025 financial year. This process maintains transparency in financial reporting and audit services.
Proxy Voting and Submission Guidelines
For shareholders unable to attend the AGM in person or virtually, MTN Ghana has provided an option to appoint a proxy to vote on their behalf. The proxy does not need to be a shareholder of the company.
A copy of the Proxy Form is available for download at www.mtnghagm.com. The completed and signed form must be submitted via email to info@csd.com.gh no later than 48 hours before the AGM.
