Dangote Refinery Targets Nigerian Retail Investors in IPO

Dangote Petroleum Refinery is preparing for what could become Africa’s largest initial public offering, with the company planning an October listing designed to give Nigerians greater participation in the growth of one of the continent’s most ambitious industrial projects.

The refinery has submitted an application to Nigeria’s Securities and Exchange Commission for an IPO that could raise as much as $5 billion, although the final size of the offering has yet to be determined.

According to David Bird, Chief Eexecutive Officer of Dangote Petroleum Refinery, the company’s immediate objective was to make the IPO accessible to Nigerians rather than prioritising an international listing.

“We really want to drive participation. The mandate of the IPO was to be the people’s IPO.”

The proposed offering comes as the refinery continues to expand its role in Nigeria’s energy sector and establish itself as a major supplier of refined petroleum products across Africa and international markets.

Owned by Africa’s richest man, Aliko Dangote, the refinery has increasingly become a strategically important source of gasoline, diesel and aviation fuel as global energy markets have faced disruptions.

David Bird added that the company intends to demonstrate at least three years of production and financial performance before considering an overseas listing, with London previously identified as a potential destination.

Moreover, Bird declined to disclose the proposed IPO size or the refinery’s valuation. However, the planned flotation follows a $2.5 billion private placement completed in July, which valued the refinery at approximately $40 billion, according to a source familiar with the transaction.

The July fundraising has provided an important indication of investor appetite for the refinery. Africa Finance Corporation revealed that it led a group of strategic investors in the private placement, which was reportedly 3.7 times oversubscribed and attracted significant interest from both African and international institutional investors.

That level of demand could strengthen expectations that the planned public offering will attract substantial interest when it reaches the market.

For Nigeria, the proposed IPO could also carry significance beyond the refinery itself. A successful listing would provide domestic investors with an opportunity to participate directly in a major industrial enterprise while potentially deepening the country’s capital markets.

The refinery’s emergence as a major player in regional fuel supply has also coincided with disruptions in international energy markets. The company has benefited from changes in global fuel trade linked to the Iran war, increasing shipments of jet fuel to African markets and Western Europe as buyers searched for alternative sources of supply.

Bird indicated that Dangote Refinery became Europe’s largest supplier of jet fuel in June and July, underlining the rapid expansion of its international trading footprint.

Dangote Refinery is pursuing an aggressive expansion strategy that might change the size of its operations over the next three years, in addition to the anticipated IPO.

Within three years, the corporation intends to quadruple its refining capacity to 1.4 million barrels per day, according to Bird. It is anticipated that the expansion will be partially funded by increased debt and IPO revenues.

Nigeria’s ability to supply petroleum products to both internal and foreign markets would be greatly increased by such an expansion, making the refinery one of the biggest refining complexes in the world.

Bird disclosed that the cost of the expansion would be substantially lower than the approximately $20 billion spent to construct the original refinery, potentially allowing the company to increase capacity while maintaining greater control over its capital expenditure.

The expansion strategy is based largely on the expectation that demand for refined petroleum products and petrochemicals will continue to rise across Africa.

Bird added that Africa remains structurally short of refined fuels and petrochemicals, creating substantial room for Dangote Refinery to expand its market presence.

The refinery already supplies most of Nigeria’s gasoline and diesel demand and all of the country’s jet fuel requirements, giving it a significant position in the domestic market.

Its integrated structure and access to local crude supplies are also being presented as key competitive advantages. Bird said the refinery compares favourably with refining assets in the United States because of its proximity to crude resources, strong domestic demand and integrated operations.

That combination could become increasingly important as the company seeks to expand production while managing the risks associated with global commodity markets.

The planned capacity increase could also strengthen Nigeria’s position as a regional supplier of refined petroleum products.

For years, many African countries have relied heavily on imported fuels despite the continent’s significant crude oil resources. Limited refining capacity has forced countries to export crude and subsequently import refined products at higher costs.

Dangote Refinery’s expansion could help address part of that structural imbalance, particularly if increased production allows the company to supply more markets across West Africa and beyond.
