SSNIT Raises Societe Generale Ghana Stake to 24.36%

The Social Security and National Insurance Trust (SSNIT) has strengthened its position in Societe Generale Ghana after securing an additional 5.0% stake in the bank, pushing its total ownership from 19.36% to 24.36%.

The transaction comes as Ghana’s banking sector continues to see significant changes in ownership, capital participation and strategic positioning. SSNIT’s latest acquisition places the pension fund at the centre of developments surrounding one of the country’s major financial institutions.

The announcement also comes after the completion of the acquisition of Societe Generale Group’s 60.22% controlling stake in Societe Generale Ghana by Attijariwafa Bank and SSNIT.

SSNIT Expands Its Position in the Bank

SSNIT disclosed the additional acquisition in a statement issued today, explaining that the transaction has increased its ownership of Societe Generale Ghana by five percentage points.

The move gives the pension manager a significantly larger interest in the bank at a time when ownership structures across Ghana’s financial sector are undergoing notable changes.

According to SSNIT, the transaction was supported by the Government of Ghana, with the Minister responsible for Finance playing an important role in securing the additional stake and completing the wider transaction.

“The Trust appreciates the support of the Government of Ghana, particularly the Minister responsible for Finance, who was instrumental in securing the additional stake and completing the transaction”.

The increase means SSNIT now holds nearly one-quarter of Societe Generale Ghana. That position could become increasingly significant as the bank enters a new phase under its revised ownership structure.

Pension Assets Take Centre Stage

Beyond the ownership numbers, SSNIT has linked the transaction directly to its responsibility to protect and grow retirement assets belonging to contributors.

The Trust said the acquisition strengthens its ability to participate in the long-term development of the financial institution while seeking to protect the interests of pension contributors.

“The deal enhances the Trust’s position to safeguard and grow contributors’ retirement assets while supporting the long-term development and stability of the Bank.”

That objective gives the transaction a broader significance than a simple change in shareholding.

SSNIT manages pension contributions on behalf of Ghanaian workers, making investment decisions an important part of its mandate. An increased position in a major bank therefore gives the Trust a larger financial interest in the institution’s future performance.

The move also highlights the role pension funds can play in Ghana’s capital markets and corporate sector when their investment portfolios are directed toward major domestic institutions.

Bigger Local Ownership Emerges

SSNIT also connected the transaction to a wider objective of increasing Ghanaian participation in the banking sector.

The Trust noted that the deal would increase local ownership in a major financial institution, potentially giving Ghanaian institutions and pension beneficiaries greater exposure to the performance of the domestic banking industry.

“The transaction also advances greater Ghanaian participation in the banking sector by increasing local ownership in a major financial institution”.

That shift is particularly relevant following the completion of the acquisition involving Attijariwafa Bank and Societe Generale Group.

The changing ownership structure means Societe Generale Ghana is entering a new chapter, with SSNIT holding a larger domestic stake alongside Attijariwafa Bank.

“This reflects the importance of ensuring that Ghanaian workers, pensioners and institutions benefit more directly from the growth and performance of the country’s financial sector”, SSNIT added.

The statement places workers and pensioners at the heart of the rationale behind the expanded investment, reflecting SSNIT’s broader responsibility to generate sustainable returns from pension assets.

Regulatory Oversight Supports Transaction

SSNIT also acknowledged the institutions involved in overseeing the transaction, recognising the Bank of Ghana and the Securities and Exchange Commission for their regulatory oversight.

The Trust further commended Attijariwafa Bank for its cooperation throughout the transaction.

The involvement of the banking and capital market regulators underlines the regulatory importance of the ownership changes taking place at Societe Generale Ghana.

With the transaction now completed, attention will shift toward how the new ownership structure influences the bank’s strategic direction, performance and contribution to Ghana’s financial sector.

A New Chapter for Societe Generale Ghana

SSNIT’s increase from 19.36% to 24.36% marks a substantial expansion of its position in Societe Generale Ghana.

The additional 5.0% stake strengthens the Trust’s financial exposure to the bank while advancing its stated objective of growing contributors’ retirement assets.

At the same time, the transaction reinforces the role of local institutional investors in Ghana’s banking industry.

As Societe Generale Ghana moves forward under its new ownership structure, SSNIT’s expanded stake will place the pension fund in a more prominent position within the bank’s shareholder base.

The development also gives Ghanaian pension contributors a larger indirect interest in the fortunes of a major financial institution, bringing the performance of the bank even closer to the long-term investment objectives of the country’s pension system.
