Atlantic Lithium has announced the successful completion of the novation agreement transferring all rights and obligations in the Ewoyaa lithium project to Zhejiang Huayou Cobalt.
The landmark transaction, executed following formal confirmation of no objection from Ghana’s Ministry of Lands and Natural Resources, sees Chinese battery materials major Huayou assume Elevra Lithium’s prior position in the asset.
Under the terms of the completed transfer, Huayou instantly secures an initial 22.5 percent equity stake in Atlantic Lithium’s broader Ghanaian critical minerals portfolio alongside the associated spodumene concentrate off-take rights.
“Completion of the novation agreement represents a significant milestone for Ewoyaa, with Huayou now assuming Elevra’s rights and obligations in the project, including the remaining sole-funding commitments under the project agreement.”

The regulatory approval effectively clears the conditions precedent surrounding project development costs, allowing Huayou to commence sole funding the remaining 66 million dollars of the 70 million dollar Stage 3 commitment.
By fulfilling this remaining capital expenditure burden, Huayou will earn an additional 27.5 percent interest in the Ghanaian operations, bringing its total ownership stake to 50 percent.
Once this sole-funding phase is completed, Atlantic Lithium and Huayou will share all ongoing operational and capital expenditures equally to advance the asset into production.
Capital Inflow De-Risks Mine Construction and Supply Chain Integration
The formal entry of Huayou Cobalt into the Ewoyaa execution framework provides critical financial solvency and operational certainty to Ghana’s emerging commercial lithium sector.
By removing capital bottlenecks and transferring balance sheet obligations away from smaller exploration entities, the novation agreement establishes a fully funded pathway to construct the country’s flagship hard-rock spodumene mine.

The integration of an established downstream refining heavyweight also secures long-term off-take security, aligning Ghana’s upstream extraction directly with high-volume global battery supply chains.
Furthermore, the participation of a partner with proven project delivery capabilities across Sub-Saharan Africa directly mitigates execution risks surrounding engineering, procurement, and infrastructure development.
Chief Executive Officer Keith Muller emphasized this alignment, noting that the management team is “working alongside Huayou in its capacity as our new project partner to advance Ewoyaa towards development and the objective of establishing the project as Ghana’s first lithium mine.”
This institutional backing ensures that technical benchmarks, processing efficiencies, and operational timelines remain on track to meet projected production schedules.
Localizing Value Addition and Safeguarding Host Community Benefits
The commercial alignment between Atlantic Lithium and Huayou Cobalt is structured to accelerate socioeconomic benefits across host communities within the Mfantseman Municipality.
By expediting the project’s development timeline, the partnership ensures early realization of direct local employment, procurement contracts for domestic service providers, and royalty flows to the central government.

Operational continuity supported by Huayou’s sole-funding commitment also reinforces community development programs, educational infrastructure initiatives, and environmental management frameworks pledged in the project’s regulatory filings.
Beyond localized impacts, the finalized novation aligns with Ghana’s national critical minerals strategy, which stresses sustainable resource exploitation, domestic value capture, and institutional participation.
With the regulatory clearance from the Ministry of Lands and Natural Resources now secured, the Ewoyaa project stands as a working blueprint for public-private alignment in West Africa’s energy transition economy.
The joint venture now shifts its focus toward full-scale site development, civil construction work, and final operational readiness.
