Atlantic Lithium Limited has secured approval from the Supreme Court of Western Australia to convene a dedicated Scheme Meeting regarding its proposed acquisition by Huayou (Hong Kong) Company Limited.
The court orders allow Atlantic Lithium shareholders and depositary interest holders to gather and formally consider the transaction under an Australian scheme of arrangement.
“The Supreme Court of Western Australia (‘Court’) has today made orders approving the convening of a meeting of Atlantic Lithium shareholders to consider and, if thought fit, approve the Scheme (‘Scheme Meeting’). The Court has also approved the distribution to Atlantic Lithium shareholders and Atlantic Lithium depositary interest holders of an explanatory statement providing information about the Scheme (‘Scheme Booklet’).”

This legal development advances the takeover process originally announced on May 7, 2026, wherein Huayou (Hong Kong) Company Limited, a wholly-owned subsidiary of Zhejiang Huayou Cobalt Company Limited, agreed to acquire the Africa-focused exploration firm.
Following the ruling, the court also approved the distribution of an explanatory Scheme Booklet containing critical voting instructions, transaction details, and independent evaluations for all registered investors.
Transaction Overview and Strategic Positioning
Atlantic Lithium’s board has systematically guided the asset toward this regulatory milestone, marking a crucial step in fulfilling its corporate objectives.
Listed across international exchanges including AIM, ASX, and the Ghana Stock Exchange under ticker symbol ALLGH the company has consistently positioned itself as a pioneer in West Africa’s emerging green metal supply chain.

By partnering with Zhejiang Huayou Cobalt Company Limited through its subsidiary, Atlantic Lithium gains direct access to extensive industrial refining capabilities, technical expertise, and deep capital pools.
For Huayou, the strategic acquisition consolidates high-grade lithium feedstock directly from an emerging mining jurisdiction, expanding its footprint in global battery materials supply networks.
Driving Ghana’s Lithium Development
The fundamental driver behind this takeover transaction centers on advancing the Ewoyaa Lithium Project toward active commercial production.
Located in Ghana’s Central Region, Ewoyaa represents a landmark natural resource development targeted to become the nation’s inaugural operational lithium mine.
Transforming an exploration-stage asset into a fully capitalized mining operation demands substantial capital expenditure, infrastructure building, and technical processing facilities.

Partnering with a globally recognized battery precursor manufacturer ensures that the project overcomes financing bottlenecks that frequently delay critical mineral developments across sub-Saharan Africa.
Furthermore, local economic integration remains central to the initiative, as the mine development promises job creation, skill transfer, tax revenues, and downstream mineral processing opportunities within Ghana.
Critical Mineral Demands and Market Implications
The global transition to clean energy technologies has accelerated competitive securing of hard-rock spodumene reserves worldwide.
Electric vehicle manufacturing and energy storage solutions require unprecedented volumes of battery-grade lithium compounds.
In response to shifting international trade dynamics and supply chain vulnerabilities, major refiners are increasingly securing direct equity stakes in high-tier African deposits.

Atlantic Lithium’s strategic move reflects a broader trend of cross-border consolidation within the extractive industry.
By integrating Ghanaian lithium reserves with downstream processing networks, the transaction enhances regional economic prospects while helping satisfy international demand for clean energy transition materials.
Investors across global exchanges now turn their attention to the upcoming vote on December 14, 2026, which will officially determine the future ownership structure of Ghana’s flagship lithium enterprise.
