GNPC Exploration and Production Limited Company (Explorco) says stronger revenue, improved profitability, increased cash generation and reduced borrowings have improved its financial position, as the company prepares to take on greater responsibility in Ghana’s upstream petroleum industry.

The financial gains, reported at its inaugural Annual General Meeting (AGM) in Accra, come at a consequential point in the company’s development.

Explorco is pursuing a transition towards direct operatorship, with responsibilities that will demand not only technical expertise but also the financial capacity to plan, execute and manage capital-intensive petroleum projects.

Managing Director Samuel Opoku Arthur acknowledged that the company continues to manage outstanding financial obligations and receivables, despite the reported improvements in its 2025 performance.

That qualification highlights a central question surrounding its next phase: whether the progress recorded in its accounts can provide a sufficiently strong foundation for the operational and investment demands ahead.

The AGM, held at the Accra Marriott Hotel, brought together Explorco’s board, management, representatives of its parent company, the Ghana National Petroleum Corporation (GNPC), government officials, subsidiaries within the GNPC Group and external auditors Deloitte Ghana.

For a company seeking to establish itself as a fully independent Ghanaian operator, the meeting offered an opportunity to consider the relationship between financial sustainability, operational readiness and the ambition to take on a larger role in the petroleum sector.

Stronger Accounts, Larger Responsibilities

Explorco’s reported financial performance for 2025 points to improvement across several indicators. Arthur said revenue and profitability increased, cash generation strengthened and overall borrowings declined significantly.

These developments matter because operatorship comes with financial responsibilities that extend beyond a company’s existing participation in petroleum assets.

An operator must be able to support project planning, procurement, contractor management, operational expenditure and risk mitigation, while maintaining sufficient financial discipline to respond to unexpected developments.

A stronger cash position can improve a company’s ability to meet operational commitments and plan investments. Reduced borrowing may also ease some of the pressure associated with financing costs.

However, the extent to which these improvements strengthen Explorco’s investment capacity cannot be fully assessed without the actual financial figures.

The Managing Director’s acknowledgement of outstanding obligations and receivables is also important. Improved profitability does not automatically translate into unrestricted cash availability, particularly where a company still has amounts to recover or financial commitments to settle.

For Explorco, the next stage will therefore require it to sustain the reported gains while managing its outstanding exposures.

Its ability to do so will influence the resources available for new projects and the extent to which it can assume greater operating responsibilities without placing additional pressure on its finances.

The company described the improved position as providing a stronger foundation for future investments. The challenge will be to demonstrate that this foundation can support the scale and complexity of the projects it intends to pursue.

Operatorship Requires More Than A New Mandate

The financial question is closely linked to Explorco’s ambition to become a credible Ghanaian operator.

Board Chairman Dr. Aaron Issa Anafure used the AGM to stress that direct operatorship requires a combination of technical, commercial and institutional capabilities.

His remarks suggest that the transition is being approached as a broader organisational transformation rather than simply an expansion of the company’s formal role.

“The journey to becoming a credible Ghanaian operator is deliberate and demanding. Operatorship requires more than aspiration; it requires technical competence, project discipline, procurement integrity, risk management, stakeholder trust, and an organisational culture that places safety and accountability at the centre of decision-making.”

The requirements outlined by Anafure are particularly relevant in an industry where operational decisions can involve substantial capital, complex engineering and significant safety and environmental risks.

An operator is responsible for coordinating the different elements of a project, ensuring that technical decisions are properly assessed, procurement processes are credible and contractors deliver according to agreed standards.

It must also maintain systems for monitoring costs, managing risks and ensuring that operations comply with applicable requirements.

This places considerable demands on leadership and internal controls. A company may have access to technical advisers and experienced partners, but it must still possess the institutional systems to make informed decisions and remain accountable for project outcomes.

Explorco’s stated commitment to safety, local content integration and operational efficiency will therefore need to be reflected in its operating procedures, procurement decisions and management practices.

The company’s transition also carries implications for the wider national petroleum industry.

Developing a Ghanaian operator could increase domestic participation in the management of petroleum resources, but the value of that ambition will depend on the ability to deliver projects safely, efficiently and commercially.

Voltaian Drilling Puts The Strategy To Work

The planned exploration campaign in the Voltaian Basin is one of the immediate programmes through which Explorco’s operational ambitions will be tested.

Deputy Minister for Energy and Green Transition, Hon. Richard Gyan-Mensah, told the AGM that the government has high expectations for the onshore drilling campaign and expects it to commence as scheduled in the fourth quarter of 2026.

He also tasked the company’s leadership with maintaining strict adherence to due process and rigorous due diligence throughout the project’s execution.

The emphasis on these requirements reflects the importance of managing exploration expenditure carefully.

Frontier drilling involves geological uncertainty, and the decision to proceed must be supported by technical evidence, appropriate project preparation and a clear understanding of the risks involved.

For Explorco, the campaign is significant beyond the possibility of establishing a petroleum discovery. It presents an opportunity to develop practical experience in managing an exploration programme and strengthen the technical systems needed for future operations.

Anafure described the project as:

“A national learning and capacity-building journey that can help shape the future of Ghana’s upstream industry.”

The description places national capability alongside the geological objectives of the programme.

The experience gained from planning and executing the campaign could contribute to building Ghanaian expertise in areas such as exploration management, drilling, project oversight and operational decision-making.

However, the value of that learning will depend on whether the company can retain and apply the knowledge gained.

A drilling campaign may provide practical exposure, but lasting operatorship capability requires continuous development of personnel, systems and institutional experience.

The government’s expectation that drilling will begin in the fourth quarter also places a clear delivery requirement on Explorco.

Meeting that schedule will depend on the readiness of the technical, procurement, regulatory and project-management arrangements.

Existing Petroleum Interests Still Matter

Explorco’s ambitions are not limited to the Voltaian Basin. Arthur also outlined operational progress across the company’s existing interests in the Jubilee and TEN fields and measures being taken to prepare for the onshore campaign.

These interests remain relevant to the company’s development because the transition towards direct operatorship must take place alongside its existing responsibilities in Ghana’s producing petroleum sector.

The management of producing assets requires continued attention to operational performance, technical oversight and coordination with other parties involved in field activities. It also demands an understanding of the commercial and financial implications of decisions taken throughout the life of an asset.

Explorco must therefore balance the resources required to develop new operating capabilities with the need to maintain effective participation in its existing portfolio.

That balance will be important as the company considers future investments. Its ability to manage current responsibilities while preparing for new projects will help determine whether its expansion is sustainable.

The AGM did not provide detailed production figures or specific operational targets for Jubilee and TEN in the information released.

Consequently, the progress outlined by management offers a broad indication of ongoing activity, but does not provide enough detail to assess the performance of individual assets.

Local Content Must Translate Into Capability

Explorco’s commitment to local content integration is another part of its proposed transition.

A stronger Ghanaian operator could create opportunities for local professionals, technical service providers and businesses to participate more directly in upstream activities.

But local participation must extend beyond the number of Ghanaian companies or personnel involved in a project.

It also requires the development of specialised skills, the ability to meet demanding technical and safety standards, and the capacity of domestic suppliers to deliver reliably.

This is particularly important as Explorco seeks to establish a more independent operating structure. The company will need to identify the capabilities it can develop internally, determine where specialist expertise is required and build partnerships that transfer knowledge without weakening its own decision-making capacity.

The Chairman’s emphasis on procurement integrity and stakeholder trust is relevant in this context. The credibility of a national operator will depend partly on how transparently it selects contractors, manages commercial relationships and accounts for project expenditure.

For the wider industry, the objective is to ensure that increased national participation contributes to stronger domestic expertise and value creation rather than simply changing the ownership or management structure of projects.

The Next Measure Is Delivery

Explorco’s inaugural AGM brought together the people and institutions responsible for its oversight, strategic direction and financial accountability.

Alongside the Deputy Minister and board leadership, GNPC Chief Executive Officer Kwame Ntow Amoah attended, as did representatives of the Ministry and GNPC Group subsidiaries, including Ghana National Gas Company Limited, Prestea Sankofa Gold Limited and the Mole Motel Company Limited.

The meeting reaffirmed the company’s ambition to become a capable, responsible and financially disciplined Ghanaian operator.

But the more important test lies in the work ahead. Explorco will have to demonstrate that its improved financial position can be sustained, that outstanding obligations and receivables are managed, and that its operational systems can support the responsibilities associated with direct operatorship.

The Voltaian Basin campaign will provide an early opportunity to demonstrate project readiness, while its existing interests in Jubilee and TEN will continue to demand effective oversight.

Ultimately, the development of a national operator is not measured by the ambition to assume greater responsibility alone.

It is measured by the ability to manage petroleum assets, deploy capital responsibly, maintain safety and governance standards, and deliver commercial and operational results.

Explorco’s financial performance in 2025 provides an encouraging starting point according to the company’s management.

Whether it marks a durable improvement will become clearer as the company moves from institutional preparation to the execution of its investment and operatorship plans.

For Ghana, the wider interest is whether this transition can build a national institution capable of taking on more responsibility in the upstream sector while creating lasting value from the country’s petroleum resources.
