Elevra Lithium Ltd to Transfer All Ewoyaa Project Offtake Rights to Huayou

Elevra Lithium Limited (“Elevra”), formerly known as Piedmont Lithium Inc, has consented to an agreement to transfer all of its rights and interests under the Ewoyaa Project Agreement to Chinese critical minerals firm Huayou through a Novation Agreement.

 This significant deal follows the earlier announcement of the Scheme of Arrangement (SID) and formalizes the complete assignment of Elevra’s contractual positions, including its prized spodumene concentrate off-take rights.

Under this agreement, Elevra will hand over all associated rights, obligations, titles, and interests linked to the broader Ghana Portfolio once relevant regulatory approvals condition precedents are satisfied.

The decision effectively establishes a new operational dynamic for Atlantic Lithium’s flagship asset in Ghana as the project moves closer toward full-scale development.

“Under the terms of the Novation Agreement, following the satisfaction of the relevant regulatory approvals condition precedent, Elevra will transfer all its rights, obligations, title and interests associated with the Ghana Portfolio (including in relation to its spodumene concentrate offtake rights) to Huayou.”

Elevra Lithium Ltd and Huayou Deal Conditions

Building upon this strategic reshuffling, Elevra currently retains a 22.5% equity interest in the Company’s Ghana Portfolio which encompasses the flagship Ewoyaa Lithium Project after completing the requirements outlined under Stage 2 of the Project Agreement on August 17, 2023.

Under the terms of the new Novation Agreement, the transaction guarantees that once the necessary regulatory conditions are fulfilled, Huayou will take full ownership of Elevra’s entire asset package, including its rights to purchase spodumene concentrate produced from the deposit.

Furthermore, Huayou has agreed that upon completion, all development costs conditions precedent under the original Project Agreement will be deemed satisfied or waived. Consequently, Huayou will assume sole funding obligations for the Project’s remaining development expenditures, removing major financial bottlenecks and streamlining construction timelines.

Economic Implications of the New Deal

From a macro perspective within West Africa’s critical minerals landscape, this agreement carries profound implications for Ghana’s ambition to become an integrated battery metals hub.

By securing Huayou’s sole funding commitment to cover the remainder of the development costs, the project clears a crucial financing hurdle that often delays commercial production for emerging hard-rock lithium deposits across the continent.

 Atlantic Lithium noted that “the agreement establishes a clear pathway for the development of the Project,” ensuring that construction, job creation, and infrastructure investments proceed without being hindered by previous funding constraints.

Additionally, because the Novation Agreement is “independent of and not conditional upon the Scheme of Arrangement,” the execution of project funding remains protected regardless of broader corporate restructuring outcomes.

The Future of Ewoyaa Project in the Face of the  New Deal

For local stakeholders, particularly host communities in the Central Region, the expedited path to development promises faster economic spillovers, local employment, and community infrastructure commitments.

 However, the consolidation of off-take rights into the hands of a global industrial power like Huayou highlights an ongoing debate in Ghana’s extractive sector: balancing immediate foreign direct investment against national strategic control over critical raw materials.

While the agreement eliminates capital risk for Atlantic Lithium and accelerates production timelines, policy analysts emphasize that Ghana must maintain strict enforcement of local content regulations, domestic value-addition requirements, and processing frameworks to ensure the nation fully captures downstream economic value from its pioneer lithium asset.
