Atlantic Lithium Targets December Completion for Proposed Huayou Scheme Arrangement

Atlantic Lithium Ltd

Atlantic Lithium Limited is targeting December 2026 to complete its proposed transaction with major Chinese new energy materials company Zhejiang Huayou Cobalt Co., Limited.

The transaction timeline sets a shareholder meeting for November 2026 to vote on the acquisition, paving the way for final scheme implementation and cash payouts before the close of the year.

“The Transaction is subject to customary and other conditions including approval by Atlantic Lithium shareholders at a meeting of shareholders called to vote on the Scheme, which is expected to be held in November 2026. Subject to the conditions of the Scheme being satisfied, or waived (as permitted), the Scheme is expected to be implemented in December 2026, at which time Atlantic Lithium shareholders would be provided with their Scheme Consideration.”

Expanding on the transaction structure, the all-cash offer values Atlantic Lithium at an enterprise equity value of approximately US1a752a77 fcf7 4db6 aa94 fa527f503db6292 million / £155 million).

Following extensive evaluation alongside financial advisers, Atlantic Lithium’s Board unanimously recommended the scheme after evaluating alternative strategic pathways against development complexities, joint venture commitments, project financing risks, future equity dilution, and execution timelines.

The Board concluded that the offer represents the “most attractive, certain, and accelerated realisation of value on a risk-adjusted basis versus other strategic alternatives” for its equity holders.

Shareholder approval dynamics strongly favor the proposed buyout ahead of the November vote. Atlantic Lithium’s directors, holding a combined relevant interest of roughly 14.2 million shares (~1.8 percent of issued capital), have confirmed their intention to vote all held shares in favor of the arrangement.

Furthermore, the company’s cornerstone shareholder, Assore Limited, which controls a ~26.4 percent stake, has formally declared its intent to vote all controlled shares in support of the transaction.

 Both recommendations remain contingent on the absence of a superior proposal and an independent expert determining that the transaction is in the best interests of shareholders.

Strategic Implications for Ghana’s Ewoyaa Lithium Project

For Ghana’s emerging critical minerals landscape, Huayou’s acquisition of Atlantic Lithium marks a pivotal turning point for the flagship Ewoyaa Lithium Project located in the Central Region.

As the country’s pioneer commercial lithium deposit backed by a 15-year parliamentary-ratified mining lease Ewoyaa’s transition under Huayou Cobalt’s corporate umbrella provides substantial capital certainty.

Huayou’s balance sheet and integrated battery chemical manufacturing ecosystem significantly de-risk the estimated $185 million initial capital expenditure required to bring the open-pit spodumene mine into commercial production.

This buyout removes independent project finance hurdles and equity dilution risks that previously hung over Atlantic Lithium’s standalone development schedule.

However, the change in controlling ownership introduces broader macroeconomic, geopolitical, and regulatory considerations for Ghanaian stakeholders. From a fiscal standpoint, the transaction triggers capital gains tax assessments by the Ghana Revenue Authority (GRA) on the underlying transfer of Ghanaian mineral assets.

Nationally, state interests remain anchored through the Minerals Income Investment Fund (MIIF), which holds direct equity and project-level participation alongside the Government of Ghana’s 13 percent free-carried interest.

Geopolitically, the deal underscores China’s expanding footprint in West Africa’s battery value chain. While Atlantic Lithium originally partnered with U.S.-listed Piedmont Lithium for project development and Western EV supply chain off-take, Huayou’s entry shifts the strategic gravity of Ewoyaa’s spodumene concentrate toward Chinese refining infrastructure.

For Ghanaian regulators and the Ministry of Lands and Natural Resources, ensuring strict adherence to local content provisions, domestic processing frameworks, local employment quotas, and community development agreements will be paramount as Huayou prepares to push Ewoyaa into shovel-ready construction following the December target completion.
